Risk Disclosure & Important Disclosures

1. What NixoraTrade is
NixoraTrade is non-custodial trading automation software. It connects trade instructions that you create — from your own alerts, rules or manual entry — to a Broker account that you own.
We never hold, receive or transmit your funds or securities. We are not a broker, an exchange, a clearing firm, or a money transmitter.
2. We are not an investment adviser and we give no advice
- We are not a registered investment adviser, broker-dealer, futures commission merchant, or introducing broker.
- We do not provide alerts, signals, research, analysis, recommendations, or trading advice of any kind.
- We do not tell you what to buy or sell, when, or how much.
- Every trade originates from a rule, alert or action you configured.
- Our fees are subscription fees. We never take a share of your trading results.
3. Trading risk
Trading and investing are risky. You can lose money — including all of it.
- Past performance does not guarantee future results.
- Leveraged products, including futures, options, FX and CFDs, carry a substantial risk of loss and can produce losses exceeding your deposit.
- These products are not suitable for every investor. Do not trade with money you cannot afford to lose.
- Consider seeking advice from a qualified, licensed professional before trading.
4. Automated trading risk
Automated trading carries risks that manual trading does not.
Once you arm automation, orders are generated from your rules with no human reviewing any individual order.
A predetermined algorithm cannot adapt to conditions its author did not anticipate. Automation is not suitable for every trader, and it requires experience and skill to operate safely.
Loss may arise from, among other causes: errors in your own strategy logic; connectivity failure between any two links in the chain; misconfiguration of symbol mapping or position sizing; market disruption, gapping or halts; faulty or delayed market data; Broker-side rejection, slippage or partial fill; changes to any third-party service; compromise of your credentials or webhook URL; latency anywhere in the chain; and command expiry — a stale instruction is refused rather than executed late, and a refused exit leaves your position open.
You must actively monitor your own accounts and positions. We do not monitor them and we will not intervene.
5. No guarantee of execution
Orders may be delayed, rejected, expired, partially filled, duplicated, or not executed at all.
This is a real property of the system, not a formality. Our engineering record contains genuine, since-fixed incidents of exactly this kind — including a delivery path that silently stopped delivering above roughly 500 orders per hour, and a misconfigured age cap that expired exit orders after five seconds. They are disclosed because the category of failure is real.
Who places your order: you do. Your own Expert Advisor — running in your own MetaTrader terminal, on your own machine, logged in to your own Broker account — places every order. We hold the instruction in a queue until your EA collects it.
We never contact your Broker. We hold no Broker credentials and have no connection to any Broker.
6. Hypothetical and simulated performance
The Service displays backtest and simulated results. Read this before relying on any of them.
HYPOTHETICAL OR SIMULATED PERFORMANCE RESULTS HAVE INHERENT LIMITATIONS. UNLIKE AN ACTUAL PERFORMANCE RECORD, SIMULATED RESULTS DO NOT REPRESENT ACTUAL TRADING. BECAUSE THE TRADES HAVE NOT ACTUALLY BEEN EXECUTED, THE RESULTS MAY HAVE UNDER- OR OVER-COMPENSATED FOR THE IMPACT, IF ANY, OF CERTAIN MARKET FACTORS SUCH AS LACK OF LIQUIDITY. SIMULATED TRADING PROGRAMS IN GENERAL ARE ALSO SUBJECT TO THE FACT THAT THEY ARE DESIGNED WITH THE BENEFIT OF HINDSIGHT. NO REPRESENTATION IS BEING MADE THAT ANY ACCOUNT WILL OR IS LIKELY TO ACHIEVE PROFITS OR LOSSES SIMILAR TO THOSE SHOWN.
In addition, specific to this Service:
- Backtests do not model your Broker's spreads, commissions, swap or financing charges, slippage, requotes, partial fills, or execution latency unless you configured those inputs yourself.
- Backtests use price data from your own Broker terminal, which may differ from another Broker's.
- Indicator and backtest calculations are our own implementations and may contain errors.
- A strategy tuned until it performs well on past data is likely to be overfitted and to perform worse in live trading.
7. No performance representation
Any testimonial, example, screenshot or result shown in our marketing, documentation or educational material is not representative of typical results and is not a guarantee of future performance. We do not publish a verified track record and we do not claim one.
8. Software is provided "as is"
There is no uptime commitment, no SLA, no latency guarantee, no execution guarantee, and no data-accuracy guarantee. See the Terms of Use, §§19–21.
9. Your data is stored on your own device
Your annotations, journals, notes and knowledge base are stored in your browser, not on our servers. We cannot recover them. They are lost if you clear site data, change browser or device, or the device fails. Export your own backups.
10. Broker independence and trademarks
NixoraTrade and Nixora Systems, Inc. are not affiliated with, endorsed by, sponsored by, or authorised by MetaQuotes Software Corp., MetaTrader, TradingView, YouTube, or any Broker, exchange, prop firm or platform named in the Service, unless expressly stated in writing.
Technical compatibility does not imply partnership or endorsement. All trademarks, service marks and trade names are the property of their respective owners and are used only to describe compatibility.
11. Third-party services
Brokers, data providers, signal services and other third parties operate under their own terms. We do not control them, do not warrant them, and are not responsible for their acts or omissions.
12. Prop firm accounts
If you connect a proprietary-trading-firm or evaluation account, you alone are responsible for compliance with that firm's rules. Many prop firms restrict automation, Expert Advisors and copying. We do not guarantee the Service is permitted, and we are not liable for rule breaches, disqualification, failed evaluations or lost funding.
13. Educational material
Educational material, tutorials, bootcamp content and worked examples are general in nature. They are not personalised advice, not a recommendation, and not a solicitation. They do not take account of your objectives, financial situation or needs.
14. Your acknowledgement
By connecting a Broker and enabling automation, you acknowledge that you have read and understood these disclosures, that you possess the experience and skill required to operate automated trading safely, and that you assume all risk of loss.
